Justin Blackhall
Justin Blackhall represents U.S. and international bank and non-bank lenders in complex financing transactions, capital raising and compliance.
Justin is the founding shareholder of Blackhall, P.C. He has spent much of his career on the lender side of commercial real estate and EB-5 finance: structuring funds and loan programs, documenting the transactions, and enforcing them when needed.
Through Blackhall, P.C., Justin has handled more than $3 billion in transactions, including more than $1 billion of EB-5 capital raised, structured and deployed into first-lien loans and other lending products, among them SBA, USDA, rural, infrastructure and high-unemployment-area (HUA) projects.
His EB-5 work spans the full life of a regional center investment. He prepares private placement memoranda, partnership agreements and investor tax disclosure for offerings of $60 million and more; responds to broker-dealer diligence; supports I-956F project filings and responses to USCIS requests for evidence and notices of intent to deny; documents EB-5 construction loans, participations and construction funding agreements; and advises on Reform and Integrity Act compliance, sustainment and redeployment. When a project loan defaults, he manages enforcement through trial and appeal.
His lending work includes bridge and transitional lending, participations and intercreditor arrangements, secondary-market and securitized loan products, and SBA 504 lending.
He also advises lending platforms and funds on capital raising, from private placements to bank credit facilities, and works with lender entities and their auditors on the legal questions behind consolidation, credit-loss reserving and going-concern reviews.
Justin also represents real estate developers and hospitality owners and operators on the acquisition, financing, operation and disposition of real estate assets. His lending experience lets him help those clients find funding for difficult projects.
Born and raised on St. Thomas, U.S. Virgin Islands, Justin began his career as a law clerk to three federal judges: the Honorable Shira A. Scheindlin of the U.S. District Court for the Southern District of New York, the Honorable Thomas B. Bennett of the U.S. Bankruptcy Court for the Northern District of Alabama, and the Honorable Thomas K. Moore of the District Court of the Virgin Islands. He earned his J.D. from the Benjamin N. Cardozo School of Law and his B.A. from Syracuse University.
